Agreement to Terms
By accessing or using QUUL (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.
QUUL is operated by MayiLabs, LLC ("we," "our," or "us").
Description of Service
QUUL is a community discovery platform designed to help diaspora communities find local resources, services, and connections. The Service allows users to:
- Discover and review local businesses, services, and community resources
- Share experiences through reviews and ratings
- Connect with community members through messaging features
- Participate in community engagement activities
Eligibility
You must be at least 13 years old to use the Service. By using QUUL, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms.
User Accounts
Account Creation
You may browse certain content without an account, but full functionality requires registration. When creating an account, you agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion, with or without notice.
User Content
Your Content
You retain ownership of content you submit to QUUL ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating the Service.
Content Standards
You agree not to submit content that:
- Is false, misleading, or fraudulent
- Infringes on intellectual property rights of others
- Contains hate speech, harassment, or threats
- Is sexually explicit or pornographic
- Promotes illegal activities
- Contains malware or harmful code
- Violates any applicable laws or regulations
Content Moderation
We reserve the right, but have no obligation, to review, edit, or remove User Content at our sole discretion.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws or regulations
- Impersonate any person or entity
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to any systems
- Use automated means to access the Service without permission
- Collect user information without consent
- Post spam, advertisements, or unsolicited promotions
- Engage in any activity that could harm the Service or other users
Preview Release Disclaimer
As-Is Basis
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS DURING THIS PREVIEW PERIOD. We make no representations or warranties of any kind, express or implied, regarding the operation or availability of the Service, the accuracy or reliability of any content, or that the Service will be uninterrupted, secure, or error-free.
Preview Limitations
During the preview period: features may be incomplete or subject to change without notice; data may be lost or reset; the Service may be discontinued at any time; and support is provided on a best-effort basis only.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAYILABS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Indemnification
You agree to indemnify, defend, and hold harmless MayiLabs, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.
Third-Party Services
The Service may integrate with third-party services including Stripe (payment processing), Firebase (Google), and Sentry. We are not responsible for the content, privacy practices, or terms of any third-party services.
Marketplace (Ofertas)
QUUL includes a marketplace feature ("Ofertas") that allows community members to list and purchase goods and services. By participating in Ofertas you agree to:
- Provide accurate listings and descriptions
- Comply with all applicable laws governing the sale of goods and services
- Honor completed transactions
- Pay applicable platform fees as disclosed at the time of transaction
MayiLabs, LLC acts solely as a platform facilitating transactions between users and is not a party to any transaction between buyers and sellers.
Intellectual Property
The Service, including its design, features, and content (excluding User Content), is owned by MayiLabs, LLC and protected by intellectual property laws. "QUUL" and associated logos are trademarks of MayiLabs, LLC.
Modifications to Service and Terms
We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We may revise these Terms at any time; material changes will be communicated through the app. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS ACTION.
